Terms of Service
These Terms of Service (the “Terms”) govern your use of BidSharpe, a job-search web application (the “Service”) operated by Andranik Grigoryan, Yerevan, Republic of Armenia (“BidSharpe”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal data.
1. The Service
BidSharpe helps you organise a job search. You can keep a search profile and self-attested evidence about your experience, search third-party job boards and public job APIs, save postings to your private workspace, track your applications, store related files, and, if you choose, use AI features to rank jobs and draft application material. BidSharpe never submits applications on your behalf; you decide what to send and to whom.
We may change, add or remove features over time. We will give reasonable notice of changes that materially reduce the Service you have paid for.
2. Eligibility
You must be at least 16 years old, and old enough to form a binding contract where you live, to use the Service. You may not use the Service if we have previously terminated your account for breach of these Terms or if you are barred from doing so by applicable law. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.
3. Your account and security
- Give accurate information when you register and keep your email address up to date, as we use it for verification and password resets.
- Keep your password confidential and do not share your account. Each account is for one person. If you sign in with Google or X, you are also responsible for keeping that account secure.
- You are responsible for activity under your account unless it results from our failure to meet our security obligations.
- Tell us promptly at [email protected] if you suspect unauthorised access.
4. Acceptable use
You agree not to:
- scrape, crawl or harvest data from the Service, or access it through automated means other than the interfaces we provide;
- use the Service to send automated or mass job applications, or to spam employers or recruiters;
- upload, store or generate content that is unlawful, infringing, defamatory, harassing, discriminatory or deceptive;
- upload other people’s personal data unless you have the right to do so;
- misrepresent your identity, qualifications or experience, or use the Service to commit fraud;
- upload malware or attempt to probe, disrupt, overload or bypass the security, rate limits or usage limits of the Service;
- attempt to access another user’s workspace or data;
- use the Service in a way that breaches the terms of the job sources it searches, or resell or sublicense access to the Service; or
- reverse engineer the Service except where the law expressly permits it.
5. Your content
“Your content” means the information you add to the Service, including your profile, evidence, application notes, uploaded files and AI drafts generated for you. You keep all rights in your content.
You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your content only as needed to operate, secure and provide the Service to you, including sending it to our service providers (such as the AI provider when you request AI features) as described in our Privacy Policy. This licence ends when your content is deleted from our systems, subject to backup expiry and legal retention described in the Privacy Policy. We do not use your content for advertising.
You confirm that you have the rights needed to provide your content and that it does not breach these Terms or the law. Evidence you enter is self-attested: you are responsible for its accuracy. You can export your data and delete your account from your settings at any time.
6. AI features and outputs
- AI features run only when you request them. They use an external AI model provider to rank jobs and draft application material from your profile, evidence and job postings.
- AI outputs are drafts. They can be incomplete, inaccurate or unsuitable, and may overstate or misstate your experience. You must review and edit every draft before you use it, and you are responsible for anything you send.
- Job rankings are suggestions, not advice about which role you should pursue.
- AI usage is metered, charged as described in section 9, and limited per day. We may apply limits to protect the Service.
- To lower cost, ranking several jobs at once may be processed in the background and can take up to a few hours, although it usually finishes in minutes. We choose which AI model handles each feature and may change it.
7. Third-party job content
Job postings shown in the Service come from third-party job boards and public job APIs. They are third-party content: we do not write, verify or endorse them, and we do not guarantee that they are accurate, current, lawful or still open. Your dealings with employers and recruiters are solely between you and them. Be cautious of postings that ask for payment or sensitive personal information. Links to third-party sites are subject to their own terms and privacy policies.
8. No guarantee of employment
BidSharpe is a tool to help you organise your search. We do not guarantee that you will receive interviews, job offers or any particular outcome, and we are not an employment agency, recruiter or career adviser.
9. Plans, fees and refunds
Searching for jobs, saving postings and tracking applications are free. AI features are paid in one of the two ways below. Prices are shown before you buy. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: it processes the payment, issues your invoice, collects any sales tax or VAT due, and handles payment-related customer service. Paddle’s buyer terms also apply to your purchase. We do not receive or store your card number.
AI credits
- Prepaid. You buy credits in fixed packs with a one-time payment. Each AI request is charged to your credit balance; a request that your balance cannot cover does not run.
- Pricing. Each request is charged according to how much AI processing it used, at a rate above what the AI provider charges us. An estimate is shown before you start a request; the final charge can be lower or higher than the estimate. Part of your balance is reserved while a request runs and any unused part is released when it finishes.
- No expiry. Credits do not expire while your account is open. Credits have no cash value except as described under Refunds, cannot be transferred, and are deleted if you delete your account.
- Automatic top-up (optional). Where available, if you save a payment method with Paddle and switch on automatic top-up, Paddle charges it for the pack you chose whenever your available credits fall below the threshold you set, up to the monthly ceiling you set. With automatic increase on, repeated top-ups move to the next larger pack. You can change or switch off these settings at any time; a declined payment switches automatic top-up off.
Your own API key
- Plan. Instead of credits, you can connect your own Anthropic API key for a flat fee of 7 US dollars per month. The AI provider then bills you directly for your usage under your agreement with it; we do not charge credits for those requests.
- Renewal and cancellation. The plan renews automatically each month until you cancel. You can cancel at any time in your account; the plan then stays active until the end of the period you have paid for and is not renewed. If a renewal payment fails, the plan stays active for a short grace period and then ends.
- Without the plan. If the plan is not active, your saved key is not used and AI requests are charged to your credits.
- Your key, your responsibility. You are responsible for the key you connect, for the charges the AI provider bills to it, and for complying with the provider’s terms. The spending limits you set in BidSharpe are measured at the provider’s list prices and are a safeguard, not a guarantee of what the provider will bill. You can remove the key at any time.
Refunds
- Credits. Within 14 days of a credit purchase, you can ask us to refund the credits from that purchase that you have not used. Paddle refunds the matching share of the price you paid to the original payment method. Bonus credits included with a pack are refunded in the same proportion. Credits we gave you free of charge are not refundable.
- Own-key plan. Monthly plan fees are not refunded for a period that has already started, except where the law requires it.
- To ask for a refund, use the billing page in your account or contact us at [email protected].
We may change prices for future purchases and future billing periods. We will tell you before a change to the plan fee applies to you.
Nothing in these Terms limits any refund or cancellation rights you have under mandatory consumer law.
10. Suspension and termination
You may stop using the Service and delete your account at any time from your settings.
We may suspend or terminate your access if you materially or repeatedly breach these Terms, if required by law, or if needed to protect the Service or other users. Where reasonable, we will give you notice and an opportunity to export your data first. We may also discontinue the Service with reasonable advance notice.
On termination, your right to use the Service ends and your data will be deleted as described in our Privacy Policy. Sections that by their nature should survive termination, including sections 5 (licence, until deletion), 11 to 15 and 17, will survive.
11. Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability or accuracy. We do not warrant that the Service will be uninterrupted or error-free, that job sources will always be reachable, or that AI outputs or job content will be accurate. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
12. Limitation of liability
To the extent permitted by law:
- we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, earnings, employment opportunities or data, arising from your use of the Service; and
- our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or 100 US dollars (or the equivalent in your local currency).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for death or personal injury caused by negligence, for fraud, or your statutory rights as a consumer.
13. Indemnity
To the extent permitted by law, you agree to indemnify and hold us harmless from claims, losses and reasonable costs (including legal fees) brought by third parties that arise from your content, your misuse of the Service, or your breach of these Terms or the law. This section does not apply to consumers where mandatory law prohibits it.
14. Governing law
These Terms are governed by the laws of the Republic of Armenia, including its Civil Code and its Law on Protection of Consumer Rights, without regard to conflict-of-law rules. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live.
15. Dispute resolution
If you have a concern, please contact us first at [email protected]; we will try to resolve it informally within 30 days. If we cannot, either party may bring the dispute before the competent courts of the Republic of Armenia in Yerevan. If you are a consumer, you may also bring proceedings in the courts of the country where you live, and nothing in these Terms prevents you from using an alternative dispute resolution body available to you.
16. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date and version at the top of the page show when they last changed. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect, unless a shorter period is needed for legal or security reasons. If you continue to use the Service after the change takes effect, the updated Terms apply; if you do not agree, you can delete your account.
17. General
- These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
- If any provision is found unenforceable, the rest remains in effect.
- Our failure to enforce a provision is not a waiver of it.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor in a merger, acquisition or sale of assets, provided your rights are not reduced.
- We are not responsible for delays or failures caused by events beyond our reasonable control.
